5. Intellectual Property Rights

Our IP

All intellectual property rights in our website, services, methodologies, and pre-existing materials remain our property unless explicitly transferred in a service agreement.

Client IP

You retain all rights to your pre-existing intellectual property. Rights to deliverables created during projects will be specified in the applicable service agreement.

License Grant

Upon full payment, and unless otherwise specified in a service agreement, you receive a license to use the deliverables for their intended purpose. We retain rights to use generic methodologies, tools, and learnings in future work.

6. Payment Terms

• Fees and payment schedules will be specified in service agreements
• Invoices are typically payable within 15 days of receipt
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are exclusive of applicable taxes unless stated otherwise

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. Specific confidentiality terms will be outlined in service agreements or separate non-disclosure agreements.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the fees paid for the specific project giving rise to the claim
• Claims must be brought within one year of the event giving rise to the claim

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless AgenticDelivery from claims arising from your breach of these Terms, violation of laws, or infringement of third-party rights.

11. Term and Termination

These Terms remain in effect while you use our services. Either party may terminate a service agreement according to its terms. Upon termination:

• You must pay for services rendered up to the termination date
• Provisions regarding confidentiality, IP rights, and liability survive termination
• We may retain your information as required by law or our privacy policy

12. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, acts of government, or other force majeure events.
